General terms and conditions for the purchase and use of quittum.

Provider: MBYT LTD, Floor 2, 16 Apostolou Pavlou, 8046 Paphos, Republic of Cyprus, registered with the Department of Registrar of Companies and Intellectual Property, Nicosia, under number HE 477330, represented by its Director Martin Byczuk. VAT ID: CY60186424Z. Email: office@mbyt.eu, Phone: +357 99 868569.

1. Scope

These terms apply to the purchase of the software quittum (packages “quittum Base”, “quittum Base+”, “quittum Pro” and “quittum Pro+”) as a perpetual purchased licence for a one-time payment via quittum.de. New instalment purchases and new update subscriptions are not offered for the time being. These terms apply to consumers and businesses. Deviating terms of the customer do not become part of the contract.

Contracts already concluded remain subject to the terms agreed when they were concluded. Existing instalment purchases and update subscriptions remain unchanged as legacy contracts; there is no automatic conversion. The notes on legacy contracts in Sections 3 and 4 explain how they continue and do not replace any earlier agreements. Better rights already promised remain in place.

A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession. A business is anyone who, when concluding the contract, acts in the exercise of their trade, business or self-employed profession.

2. Conclusion of the contract

The presentation of quittum on quittum.de is not a binding offer but an invitation to place an order. After you choose a package, the order summary on quittum.de shows you the package, its essential features and the total price. Until then you can change your selection at any time via “Back to pricing” or cancel the process. By clicking the button “Order with obligation to pay” you submit a binding offer to purchase.

We then redirect you to our payment service provider Stripe. There you enter your billing address and payment method and make the payment; Stripe only processes the payment. The contract is concluded when, after receipt of payment, we send you the licence file by email to the address you provided; this usually happens within a few minutes. If you do not complete the payment, we do not accept your offer, and no contract is concluded.

The language of the contract is German. You receive the contract text (these terms, the details of your order and the withdrawal notice) with the confirmation email; please keep this email. We store your order data as described in the privacy policy.

Advertising is not part of the contract, and the contract does not depend on it. Whether and how we use your email address for information about our own similar products, and how you can object at any time, is set out in the privacy policy, Section 5.

3. What you acquire

You acquire a perpetual, non-exclusive right to use the purchased package. The purchase works without a subscription. Your purchase rights remain in place after an update and a reinstallation; they do not depend on the release date of a version or on an update period. You may use updates provided to you permanently within the scope of your purchased package. The copyright and the source code are not sold with it.

The scope depends on the package:

Package What it does Devices
quittum Base import receipts, recognise them locally, file, search and evaluate them; questions, corrections, reminders, local backup and restore, own IMAP retrieval, bank statement import, transaction overview, financial plan and financial overview for the bank one device
quittum Base+ like Base up to five devices that sync on your own network
quittum Pro like Base, plus invoice and payment matching, open items, early payment discount, late payment interest, outgoing invoices, VAT, EÜR (German cash-basis income statement), cash book, as well as monthly package, data export and handover to your tax adviser one device
quittum Pro+ like Pro up to five devices that sync on your own network

The bank statement import covers CAMT.053, MT940 and CSV, including account selection, transaction display and the existing balance check. It does not include online banking, PSD2 access or payment execution. The financial overview for the bank distinguishes actual money movements from planning assumptions and shows the data source, period and data gaps. No recognition by banks or any particular credit rating is promised. Completeness depends on the data you provide. Features already purchased will not be moved into a subscription.

“Device” means a computer used by you or, in the case of businesses, by your employees. A replacement device after a defect does not count as an additional device; you may move quittum to another device at any time. There is no activation: the licence file is your proof and works without unlocking. However, quittum reports to us once a day the licence ID and a random ID of the installation (privacy policy, Section 8). This is how we count on how many devices a licence has run in the last thirty days. If the number exceeds the device count of the package, quittum shows this; after fourteen days it pauses the processing of new receipts until the number is correct again. Viewing and searching always remain possible, and export within the scope of the package. A device that does not report for thirty days no longer counts; a move or a replacement device therefore costs you nothing. More devices are available with the packages quittum Base+ and quittum Pro+.

Devices that only open quittum in the browser are not and never were devices in this sense and do not count towards the package’s number of devices. This applies to access within your own network as well as to access through quittum Connect. Such devices do not receive a licence of their own and do not synchronise data. quittum Connect has its own limit of five remote devices per subscription (Connect Terms, section 5).

The copyright in quittum remains with MBYT LTD. You may not rent, lend or make the software publicly available, and you may not modify the licence file. Rights that copyright law grants you on a mandatory basis (such as a backup copy or decompilation to achieve interoperability) remain unaffected.

Third-party components are subject to their own licence terms. The licence texts and, where applicable, the original sources are shipped with quittum. Where those terms permit modification, replacement or redistribution, these rights apply regardless of the restrictions for quittum. In particular, modifying and replacing the included LGPL libraries, as well as reverse engineering for debugging such modifications for your own use, are permitted.

You may transfer your licence once and in full to a third party if you no longer use quittum yourself, hand the licence file over to the third party and delete your own installations and copies. A licence for several devices cannot be split.

Existing instalment purchases (legacy contracts)

New instalment purchases are not offered for the time being. For existing instalment purchases, in particular the agreed purchase price, the crediting of instalments paid, the rights of use until the end of the paid period and the termination rights remain unchanged. As soon as the agreed sum of instalments reaches the agreed purchase price, the perpetual right of use arises under the respective legacy contract. The subsequent continuation as an update plan agreed there remains in place and can be cancelled without losing the perpetual right of use acquired. There is no automatic conversion to the new purchase model.

If you cancel before the purchase price is reached, the agreed consequences continue to apply: use until the end of the paid period, after that continued viewing, searching, questions and export; processing of new receipts only with a valid licence. The instalments paid compensate for the use so far; statutory refund rights remain unaffected.

The agreed right to have instalments credited on resumption also remains in place: for the same package within 24 months of the first purchase, the previous instalments continue to count under the same licence number. Because new instalment orders are temporarily suspended, please contact office@mbyt.eu to exercise this existing right. You can also contact us there after this period or if you change package. The suspension of new orders does not remove any claims under your legacy contract.

4. Updates, legacy contracts and future services

New purchase: updates provided free of charge

For purchased licences under these terms, we provide published updates for the purchased package free of charge, including bug fixes and security fixes. A paid update subscription is not required for this and is not offered for new purchases. An update does not take away any purchased features or device rights.

The perpetual right of use is not a promise of indefinite further development, maintenance or personal support. Statutory update obligations, the commitments in Section 5 and better rights already agreed remain unaffected. New features outside the purchased package are not acquired merely through a program update.

Existing update plan (legacy contracts)

Update periods and update subscriptions already agreed continue under their previous terms. Your previous agreement, order confirmation and licence file are decisive. This also applies to the perpetual use of versions released during your agreed update plan, even if you install them only later.

The agreed billing and renewal of existing update subscriptions remain unchanged. You can still cancel your existing update plan with effect from the end of the current billing period, via the customer portal of the payment service provider (access at quittum.de/lizenz/kuendigen) or by email to office@mbyt.eu. Further statutory or contractual termination rights remain in place. If the update plan ends, the version you already hold under a perpetual licence continues to run unchanged; it does not lose any function. No automatic conversion or new charge takes place on the basis of these terms.

5. Security fixes

We make fixes that close security vulnerabilities available to all purchasers, even without an ongoing update plan, for the major version you acquired for at least three years from purchase and beyond that for as long as we maintain this major version. Statutory obligations to provide updates remain unaffected and apply in addition.

6. Description of services: what quittum is and what it is not

quittum captures receipts using text recognition and a local AI model, categorises them, recalculates amounts and answers questions about your data with references to the sources. Automatic recognition is by its nature not error-free: quittum marks uncertainties and presents doubtful receipts for review. Your review of these receipts is part of the intended use.

No tax advice

quittum is a tool for capturing, organising and evaluating your own receipts. quittum provides no tax advice, no legal advice and no business advice, neither in general nor in individual cases, and makes no bookkeeping decisions. quittum gives no tax tips, no pointers to structuring options and no recommendation on tax elections. We are not tax advisers and do not act as such.

All information that quittum generates from your data consists of calculation results and pre-filled entries based on your receipts, your payments and your own settings. This applies in particular to reports and overviews, to totals for VAT and for the EÜR (German cash-basis income statement), to notices about amounts, deadlines or statutory thresholds, to pre-filled texts, templates and generated documents, and to exports and drafts for third parties. Such information is not a tax or legal review of your individual case, not a recommendation and not an assurance of its accuracy, completeness or currency. It may be incomplete, because quittum only knows what you have given it, and it may be outdated, because laws and thresholds change.

The choice of your tax treatment, for example between the small business scheme (Kleinunternehmerregelung) and standard taxation, is yours alone. quittum follows your setting; it does not check whether it is correct and does not change it by itself. Notices that quittum displays on this are a non-binding reminder based on your figures. Whether and from when a tax rule applies to you, what information an invoice must contain in your case and which returns, reports and deadlines you must observe, you clarify with your tax adviser or the tax office.

Responsibility for the accuracy and completeness of your bookkeeping, your invoices, your tax returns and all information provided to authorities and third parties lies with you. quittum does not transmit anything to the tax office. Using quittum does not replace review by a person authorised to provide tax advice.

quittum processes your receipts exclusively on your devices. The update check and the daily licence report under Section 3 do not transmit any receipt data. Depending on the installation and the features used, there may also be, for example, store updates, downloads for local recognition, email retrieval or sending set up by you, and error reports triggered by you. The privacy policy explains the processing by us and the store distribution.

The system requirements are listed on quittum.de. Please check them before purchasing.

7. Prices and payment

All prices include the statutory VAT, which depends on the country in which you are resident. Businesses can enter their VAT identification number during the ordering process. Payment is processed via the payment service provider Stripe; the payment methods offered there (such as card or SEPA direct debit) are shown during the ordering process. You receive the invoice by email.

8. Provision

quittum is provided exclusively digitally: you receive the licence file by email. The download options currently available are listed on quittum.de; where offered there, Windows distribution takes place via the Microsoft Store as an MSIX package. The free store download does not replace a purchased licence for your own receipts. There is no delivery on a physical data carrier.

9. Warranty

The statutory provisions on liability for defects apply. For consumers, this includes the rules on digital products, including the obligation to provide updates that are necessary to keep the product in conformity with the contract. For businesses, claims for defects become time-barred one year after provision; Section 10 remains unaffected.

10. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Produkthaftungsgesetz (German Product Liability Act) and to the extent of any guarantee we have given. Calculations, notices, pre-filled entries and generated documents under Section 6 are not a guarantee in this sense.

In the event of a slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely), our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

You are responsible for regular backups of your data. quittum creates backups itself and can restore them; this does not replace your own backup routine. For data loss, within the scope of the preceding paragraphs, we are liable only up to the amount of effort that would have been required for recovery had backups been made properly.

11. Data protection

How we handle your data is set out in the privacy policy. Local receipt recognition and the receipt database run on your devices. With quittum Connect, end-to-end encrypted data packets may be relayed through our service. We cannot read their contents. Processing in connection with Connect and processing on behalf of business customers are described in the supplementary Connect terms and the privacy policy, where Connect is offered or used.

12. Right of withdrawal

Consumers have a right of withdrawal in accordance with the withdrawal notice. For the software, the right of withdrawal expires only when the statutory conditions are met: we have begun provision, you have expressly consented to the early start and confirmed your awareness of the resulting loss of the right of withdrawal, and we have provided you with the contract confirmation, including these statements, on a durable medium.

13. Changes to these terms

Purchased licences are subject to the terms that applied at the time of purchase. For an ongoing update plan, changes apply only if you agree to them. If you do not agree, the plan continues under the previous terms; we may then terminate it with three months’ notice to the end of a billing period.

14. Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. If you have questions or complaints, write to us at office@mbyt.eu; we will reply promptly.

15. Applicable law and place of jurisdiction

The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, the mandatory consumer protection provisions of the state in which you have your habitual residence remain unaffected by this choice of law; you may also sue us before the courts of your state of residence and may only be sued there. For contracts with businesses, the exclusive place of jurisdiction is Paphos, Republic of Cyprus.

16. Final provision

Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected; the invalid provision is replaced by the statutory rule.
